When these Terms use "mrBid.me", "we", or "our", they refer to the entity named MrBidME Corp. located at 8 The Green #15765 Dover, DE ZIP Code: 19901, operating under the website https://mrbid.me.
General Conditions
MrBid.me operates an online platform that allows registered users (hereinafter referred to as "users") to place orders, bid, purchase, or acquire products and services. To register on the platform, users must be at least 18 years old or of the legal age required with sufficient faculties, capacity for exercise, and enjoyment to enter into binding contracts with mrBid.me.
By registering on the platform, the user acknowledges and agrees that these Terms and Conditions constitute a legally binding agreement. The use of the Services offered by mrBid.me implies acceptance of these Terms and mrBid.me's Privacy Policy. If the user does not agree with any of these terms or the Privacy Policy, the user may not use the Services or any other service offered by mrBid.me.
MrBid.me assumes no responsibility in the event that, for any reason, all or part of the Services are not available at any time or for a certain period. Occasionally, mrBid.me may restrict access to some or all parts of the Services, including to registered users.
By using mrBid.me's Services, the user may spend money on virtual credits, such as Bids, without receiving physical items in return. The user is solely responsible for their expenses, bids, and purchases when using the Services. MrBid.me is not responsible nor will assume any responsibility for the bids or expenses made on mrBid.me or through any of the Services. Additionally, the user is solely responsible, and mrBid.me will not be responsible or assume any responsibility for any item for which they have bid or purchased through the Services. It is the user's sole responsibility to purchase only those items about which they have fully read the product descriptions and are familiar with. The user assumes full responsibility for their purchases.
MrBid.me is not your agent, trustee, or representative. Nothing expressed or mentioned in or implied by this Agreement is intended or will be interpreted to give any person other than the contracting parties any legal or equitable right, remedy, or claim under or in connection with this Agreement. This Agreement and all representations, warranties, covenants, conditions, and provisions contained herein are intended to be and are for the exclusive and sole benefit of the contracting parties.
Changes to These Terms
MrBid.me reserves the right to withdraw, change, or modify these Terms, the Services, or any related policies or guidelines concerning the Services at any time and at its sole discretion, without prior notice. Any changes will be effective upon posting revisions on the Site. It is your responsibility to review these Terms each time before using the Services so that you are aware of any changes, as they are binding upon you. Your continued use of this Site and the Services after changes are posted will constitute your acceptance of such modifications.
If you do not agree to these terms or any modification, do not register or continue to use the services.
Eligibility
The products offered in the online market are targeted at residents worldwide without exception. MrBid.me reserves the right to restrict the availability of auctions and the delivery of items according to the user's country. The user's country can be identified based on their IP address, billing address, or postal address. The user is responsible for notifying mrBid.me at [email protected] if their country of residence is incorrectly identified.
MrBid.me does not deliver purchased items to post office boxes or freight forwarding companies. MrBid.me may refuse shipment to lockers. Please contact support before placing an order if you wish to use a locker.
General Policies
MrBid.me's policies accessible throughout the Site are expressly incorporated by reference into these terms, and you must carefully review each one. The procedures and guidelines contained herein explain the auction process. MrBid.me's Privacy Policy governs the collection and use of user information on the Site. The FAQs provide additional details on how the Services work.
Contractual Obligations
The auction process is a method by which the Site solicits offers from buyers for the sale of lots. By submitting bids, you are making a legal offer to purchase the lot. Once a bid is accepted, a contract is created between the buyer and the Site for the sale and purchase of the lot according to the terms disclosed at the time of the auction. By using the Services and placing a bid on a lot, or by using the 'Buy Now' feature, you agree to complete the transaction as described and to fulfill all contractual obligations.
Access to Systems
You are solely responsible for complying with all laws, regulations, and tax obligations, whether they be criminal, civil, mercantile, legal, extrajudicial, or of any other nature, that may apply to your use of the Platform. In connection with your use of the Platform, you shall not proceed with the following actions, nor assist or allow others to do so:
● Violate or circumvent applicable laws or regulations, contracts with third parties, rights of third parties, or our Terms, policies, or applicable rules.
● Use the Platform or collective content for any commercial or other purpose not expressly contemplated in these Terms or in a manner that falsely implies endorsement or cooperation by mrBid.me or that deceives or misleads others in any way.
● Copy, store, or otherwise access or use any information, including personal information about any other User, contained in the Platform, in any way that is not in accordance with the Privacy Notice or these Terms and/or that infringes upon the privacy rights of Users and/or third parties.
● Offer, as a third party, any service of which you are not the owner or for which you do not have permission to make available through the platform.
● Use robots, web spiders, web worms, web scrapers, and other means or processes to automatically access, collect data, and other content from, or otherwise interact with, the Platform for any purpose.
● Avoid, bypass, remove, disable, prevent, decode, or otherwise circumvent a technological measure implemented by mrBid.me or any of mrBid.me's providers or other third parties to protect the Platform.
● Attempt to decipher, decompile, or disassemble software used to offer the Platform or apply reverse engineering techniques to it.
● Take any action that may adversely affect or impair, or may potentially adversely affect or impair, the performance or proper functioning of the Platform.
● Export, re-export, import, or transfer the site, except to the extent authorized by the laws and regulations of your jurisdiction, and any other applicable laws.
Bidding
Each bid placed on MrBid.me (a "Bid") is a limited, non-transferable license valid for one year to participate in an auction on MrBid.me. Bids have no monetary value, do not credit against the purchase price of products purchased on the Site, and cannot be exchanged for money or any item of monetary value.
Due to billing charges, MrBid.me wishes to advise all users to monitor their bidding practices. Repeated online bidding can incur high costs. Therefore, users should pay attention to their bidding practices.
Unauthorized Conduct
In order to maintain fair and honest auctions, MrBid.me reserves the right to monitor and enforce any fraudulent or malicious activity on the Site. You acknowledge that you have read what activities include, and agree not to engage in any of these, or any other fraudulent or malicious activity.
Colluding with family members, friends, or acquaintances in auctions is strictly prohibited. Bidders found to be participating in teams will have all their auction wins canceled, and in severe or repeated cases, they will be permanently suspended from auctions without the possibility of a refund.
The use of any type of external bidding software is strictly prohibited.
Usernames must not be obscene, intentionally misleading, or chosen with the clear purpose of impersonating an existing user. You may not register and bid under a false name or with an invalid credit card. Such fraudulent conduct is a violation of federal and state laws. Fraudulent bidders may be reported to relevant state and federal law enforcement agencies, and mrBid.me will cooperate to ensure that offenders are prosecuted to the fullest extent of the law.
A bidder may not resell any product or service obtained through the Site and Services without prior written consent from mrBid.me, unless explicitly permitted in the product description of an auction. Additionally, a user may not use the products to create any investment scheme, commodity contract, or mutual fund or otherwise use mrBid.me as a product delivery mechanism for an intermediated agreement or obligation. If a user is found to be reselling products obtained from mrBid.me, we reserve the right to suspend the account without prior notice, canceling all auctions in which the user has participated. Furthermore, the user may be required to compensate mrBid.me for any damages.
MrBid.me reserves the right to refuse any order placed with us. MrBid.me may, at its sole discretion, limit or cancel quantities purchased per person or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, geographic region, and/or orders using the same phone number, billing address, and/or shipping address. In the event that mrBid.me changes or cancels an order, mrBid.me will attempt to notify you by contacting you via the email, billing address, and/or phone number provided at the time the order was made. MrBid.me reserves the right to limit or prohibit orders that, in its sole judgment, appear to have been placed by dealers, resellers, distributors, and others who violate these Terms.
No user may allow or assist others to use the Services for any purpose other than for which they are intended. A user will not allow or assist others to abuse or fraudulently use the Services, including, among others, the following:
• Obtaining or attempting to obtain service by any fraudulent means with the intention of avoiding payment.
• Accessing, altering, or destroying any information of another mrBid.me user through any fraudulent means, or attempting to do so.
• Using the Services in a manner that interferes with the use of mrBid.me's network by other users or authorized users, intentionally or unintentionally; or in violation of the law or in aid of any illegal act.
Each user acknowledges that the mrBid.me network may only be used for legal purposes. MrBid.me reserves the right to monitor all network activity. While using mrBid.me, each user agrees to refrain from the following prohibited acts:
• Maintaining more than one account or exercising control or influence over more than one account.
• Infringing on mrBid.me's intellectual property, establishing a competing site, or otherwise copying or using data on the Site for any purpose other than bidding on products for the bidder's own use.
• Manipulating the auction process by placing fictitious bids, colluding with other parties to create the illusion of volume, or engaging in any other deceptive or fraudulent activity that undermines the integrity of the online market.
• Violating mrBid.me's policies.
• Attempting to collect information about users, including email addresses.
• Attempting to upload or download any computer virus.
• Attempting to transmit unsolicited advertising, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes", or any other form of email solicitation to other users.
• Attempting to communicate with other users to promote or provide instructional information about illegal activities, promote physical harm or injury against any user.
• Viewing and/or downloading or uploading pornographic images or stories.
• Attempting to attack connections to the Internet, websites, or other people's computers, or damage or disfigure anyone else's website.
Purchase of Bids for Online Auctions / Payment
All prices are quoted and payments are processed in United States dollars. The user is responsible for any conversion fees and charges that may occur in case of currency conversion performed by their bank or payment processor.
Bids on MrBid.me must be purchased by users before participating in online auctions. Only registered users can submit bids online, which can be purchased in packages (called 'Bid Packages') at the applicable prices at that time, which can be viewed in 'My Dashboard' under 'Buy Bids'. Bids must be paid for in advance. When Bids are purchased and deposited into the user's mrBid.me account, a contract for the purchase of the Bids is formed. The associated invoice must be paid immediately. If a user is suspended for any reason, all their Bids will be confiscated and will not be refunded.
Users who have won an auction and paid for a product are not eligible for a refund for purchases of Bids, nor for account activation fees, nor for product fees if their product has been shipped at the time of the request.
If a payment is not honored by a user, a return payment fee will be charged. The user will be solely responsible for these fees. MrBid.me reserves the right to block access to the user's account until mrBid.me receives full payment for the outstanding amount, including return payment fees, etc. MrBid.me may withhold any pending delivery until it receives full payment. The user's bank may or may not charge the user a fee for international payment in connection with a credit card payment on the mrBid.me site. It is the sole responsibility of the user to be familiar with their bank's policies and practices for such fees. MrBid.me is not responsible for any additional payment fees issued to the user by their bank.
MrBid.me reserves the right to sell Bids at any discounted price to specific user groups for promotional purposes. All users of mrBid.me understand that they may occasionally receive unique offers to purchase discounted Bids and that other users may also do so. Similarly, users may see different product prices, based in part on the activity characteristics of that user. MrBid.me may award any number of free Bids to users or user groups as part of special promotions or for any other reason at its discretion.
MrBid.me reserves the right, at its discretion, to remove any sign-ups or other promotional Bids that have been added to a user's account for free at any time without further notice.
Money Back Guarantee
Users on MrBid.me are entitled to a Money Back Guarantee on their first purchase. If a user is not satisfied with the product, they are entitled to receive a full refund of their first purchase in accordance with these Terms. To qualify for a refund, users must email [email protected] within 24 hours of receiving the product showing images and request the refund. The refund will be credited back within 7 business days. Only 1 refund per person.
Bidding / Set Bid Bot
For online bidding, an individual bid can be submitted by clicking the "BID NOW" button, or through the automated bidding tool called 'Set Bid Bot'. After the first Bid Package purchase used is no longer eligible for refunds and is deducted from the user's Bid balance accordingly.
Set Bid Bot can help bidders to bid in an auction even if the bidders are not online at that time. Only registered users can automatically submit bids with one or more Set Bid Bot. The Set Bid Bot automatically submits bids when there is 1 second left on the auction clock. Users can read about how Set Bid Bot operates in the 'Help' section.
When reserving or adding bids to your Set Bid Bot, if the auction is currently live, the first bid will be placed immediately unless you are currently the highest bidder.
Set Bid Bot Guarantee: In very popular auctions, Set Bid Bots reserved before the auction starts may not be able to bid before the "No Jumpers" limit is reached. In these cases, as long as the Set Bid Bot was reserved before the auction started, and as long as your Set Bid Bot has not been canceled, your place in the auction is guaranteed.
MrBid.me does not guarantee the accuracy of the Set Bid Bot function and MrBid.me cannot be held responsible for any Set Bid Bot software errors of commission or omission. The user is prohibited from using any bidding software not authorized by mrBid.me; if the user does, in fact, use unauthorized software, it may result in immediate disqualification from mrBid.me's systems and Service. MrBid.me will occasionally award all users who start using the Site free Bids. The amount of free Bids awarded or not awarded is determined solely by MrBid.me on a case-by-case basis.
A bid is recorded and counted only when the mrBid.me system registers the bid. A bid is not counted and is not valid when it is sent from the user's web browser, but when the mrBid.me servers receive and record the bid request.
It typically takes less than a second to register a bid, however, it may take several seconds or more for mrBid.me to receive the bid if there is a network delay or if the system is under high stress. MrBid.me is not responsible for delays that occur in bidding or auctions. MrBid.me strives to make mrBid.me's timing clocks as accurate as possible. Although mrBid.me believes that auction timers are very accurate, mrBid.me cannot and does not guarantee that the system, including the bidding clock, will always operate reliably.
All bids are final. Winning bids and their associated fees are non-refundable.
To comply with fair and honest auction practices, mrBid.me will reschedule auctions that end prematurely due to severe technical or third-party issues at another time. In such events, where all bidders cannot participate normally in the auctions, mrBid.me will refund all Bids used in such rescheduled auctions to all involved bidders.
Limits on Auction Participation
Each user may acquire a specific item, within the framework of a particular auction, only once, as stipulated in the specific details of said auction. The system will prevent users from bidding on an auction if they have already obtained the same product previously.
MrBid.me reserves the right to restrict the availability of certain auctions to specific users, based on criteria that mrBid.me deems relevant and at its sole discretion. Such criteria may include the user's previous experience, their history of success in previous auctions, demographic characteristics, level of bidding activity, and previous expenditures, among other factors. Specifically, mrBid.me may limit participation in certain auctions to users with less experience or success, as deemed appropriate by mrBid.me to enhance the overall experience of all mrBid.me users. You acknowledge and agree that you may be excluded from certain auctions at the discretion of mrBid.me.
This limitation is set in place to ensure that all users enjoy a high-quality user experience.
Auction Operation
With each bid submitted, the price of the item for which the user is bidding increases by $0.01. A bid submitted by the user constitutes an offer from that user to mrBid.me to conclude a contract to purchase the item. A contract to purchase the item does not materialize until the auction ends, and the last bidder has followed all steps outlined in this Section. The purchase contract will exist between mrBid.me and the user who submitted the highest bid up to the point where the last qualified bid of the respective auction was submitted.
Each new bid restarts the "countdown time" for the auction. The countdown time for each of the auctions is displayed in the auction details. The auction ends when no more bids are submitted within the remaining time indicated. However, an auction may not end if someone other than the highest bidder still has reserved Bids in their set bid bot. In case of a significant network delay, the set bid bot may submit the bid with a slight delay, and the system records the bid 1+ seconds after the auction countdown time. Such a bid will be fully valid, provided that the bidder reserved their set bid bot within the auction countdown time.
The user who submits the highest bid and is the last to bid wins the auction. All other Bids on the item expire and will not be refunded. The last bidder is determined based on the records in the mrBid.me database, and mrBid.me's decision regarding the identity of the last bidder will be final. If a bid is placed too late, it does not restart the timer for an auction or is not properly recorded by the system, then it is invalid. Although this bid may be the last bid in an auction, it is the last and highest valid bid in an auction that wins the auction.
An invalid bid is one where the auction timer does not restart after the bid has been submitted. MrBid.me recommends to its users to always bid at least 5 seconds before the auction timer reaches zero, as otherwise the bid may appear as accepted by the system but is actually received too late.
Auctions may offer the "Buy It Now and Get Your Bids Back" option ("Buy It Now"). 'Buy It Now' allows you to get your spent Bids back if you purchase the same model of an item identical to its 'Buy It Now' price. The 'Buy It Now' option will be offered for a limited time period (typically 7 days after the auction ends) after which the 'Buy It Now' option is permanently revoked.
The 'Buy It Now and Get Your Bids Back' option is offered at the 'Buy It Now and Get Your Bids Back' price shown for each auction. The price may vary between auctions for the same product but will not change after the first bid is placed in an auction. The price is provided solely for the purpose of exercising the 'Buy It Now and Get Your Bids Back' option. To avoid doubt, MrBid.me cannot guarantee that 'Buy It Now and Get Your Bids Back' prices are comparable to prices at which the item is sold through retailers or other merchants elsewhere, and therefore 'Buy It Now and Get Your Bids Back' prices should not be considered as a reflection of the value of the product or used for price comparisons or similar purposes.
MrBid.me is not responsible for abuse and manipulation by third parties of the mrBid.me service, for example, if other users create chaos on the Site that then results in lost Bids. In such a case, and in other cases of third-party abuse, mrBid.me is not responsible.
MrBid.me is constantly striving to maintain fairness and balance in its auctions, therefore, some new users or users who have lost auctions may receive special promotions, access to special auctions, and/or free Bids through site features. This is designed to maintain fair practices and help balance and create a great auction experience for all users.
Cancellation
The user has the right to cancel their purchase within a period of 30 days by notifying the email address provided to MrBid.me as indicated below. The cancellation must be submitted to the following address [email protected] to initiate the return process for the items. The 30-day period starts from the receipt of the item.
In the case of a valid cancellation, both parties must return what was received in compliance with the contract and the benefits derived from it (e.g., interests) as applicable. If the user cannot return to mrBid.me the service or product they received or can only return it in part or only in depreciated conditions, the user must compensate mrBid.me for the difference in value, unless the deterioration is due to proper use. In the case of the use of items, the above compensation provision will not apply if the deterioration of the item is solely due to it being tested in a way comparable to tests that can reasonably be performed in a retail store. In other respects, the user may avoid this duty to pay compensation by not using the item(s) as they would their property, and refraining from any action that diminishes its value. Items that can be shipped in packages must be returned. In these cases, the return is free for the user. Items that cannot be shipped in packages will be collected upon coordination with the user. A user must fulfill refund obligations within 30 days of sending the user's cancellation notice.
When a user cancels before the deadline, they are not obligated to accept delivery. In circumstances where mrBid.me cancels before the deadline, mrBid.me will refund any purchase price already paid. Notwithstanding the foregoing, the service fee (e.g., money spent on purchasing Bids) will not be refunded.
Users may return items received from mrBid.me within 30 days of receipt for any reason; however, they are subject to applicable shipping or collection fees.
If mrBid.me incurs additional costs due to insufficient postage on the return, for a cash on delivery shipment, or for irregular courier and other shipping methods that exceed postal shipping costs, these costs will be deducted from any payment remitted by the user. Items in sets and boxes can only be returned in their entirety.
Delivery
Unless agreed otherwise, delivery will be made from the warehouse of MrBid.me's supplier or from mrBid.me's warehouse to the address provided by the user. MrBid.me may engage third parties to fulfill its contractual obligations without notifying the buyer. Obvious damages to the item due to transportation or damaged packaging during transport must be reported to the supplier upon receiving the delivery.
If mrBid.me cannot deliver the ordered item for any reason, mrBid.me has the right to declare the contract terminated to the user or to substitute the item for a comparable replacement product with similar characteristics. MrBid.me may also choose to replace the ordered item with a gift card of the item's value or a refund in Bids for the user to use to obtain the same product. This also applies to items ordered through Buy It Now from mrBid.me's store.
If the delivered product is damaged, defective, or in any way does not match the product description, mrBid.me will replace the product at mrBid.me's expense. Please contact [email protected] to arrange for the return and replacement of any such product. Replacement is not covered for any item shipped to a freight forwarding company, and shipping to a freight forwarding company is not allowed under these Terms.
Substitution Right
Subject to the cancellation policy specified in this document, mrBid.me may substitute another similar item of the same characteristic or general function, provided it has the same or higher retail value, for the purpose of delivery to the user. MrBid.me may substitute another similar item of lower value if requested by the user. MrBid.me may also choose to replace the requested item with a gift card or bids equivalent to the value of the item. This substitution right may be necessary from time to time if, for example, unforeseen or undetected challenges arise with the manufacturing system or supplier inventory, affecting the ability to deliver the exact item requested by the user.
Merchandise Suppliers
You acknowledge that items sold on mrBid.me may come from suppliers owned by mrBid.me, where one or more ultimate shareholders of mrBid.me have an interest, or there are shared directors or advisors between mrBid.me and the supplier. The selection of products and services available on mrBid.me is always based on price, customer satisfaction, and product reviews.
Warranties
MrBid.me is not the manufacturer nor does it control any of the products or services offered in the service. The availability of products or services through the service does not imply an affiliation with or endorsement of any product, service, or manufacturer. Consequently, mrBid.me does not provide any warranty with respect to the products or services offered through the service. However, the products and services offered through the service may be covered by the manufacturer's warranty included with the product. To obtain warranty service on defective products, the instructions included in the manufacturer's warranty must be followed. The user acknowledges and agrees that mrBid.me will not be liable, under any circumstances, for any breach of warranty claims or for any damages arising from the manufacturer's failure to fulfill its warranty obligations to the user.
Limitation of Liability
Users assume before mrBid.me (including its affiliates, partners, managers, representatives and/or legal representatives, employees, shareholders, and suppliers) all obligations and responsibilities of any kind for any direct, indirect, consequential, special, or incidental damages incurred by you, under any theory of liability and in any way that may be caused, even if foreseeable, including but not limited to loss of profits, loss of goodwill or damage to reputation, loss of data or other intangible damages, derived from or in connection with these terms or breach of these terms, your use or inability to use the service, any websites linked to it, any content on the service, or such other websites, or any services or items obtained through the service or such other websites. This limitation includes, but is not limited to, any damage or harm caused by inaccuracy of the data or services provided (or your reliance on such data or services), changes in the services, permanent deletion of content from the services (including licensed material), or breach of these terms by you. The foregoing does not affect any liability that cannot be excluded or limited under applicable law. Except as provided above, mrBid.me's sole and maximum liability for any reason, including without limitation any liability for damages caused or allegedly caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use of records, whether for breach of contract, negligence or tortious behavior, or under any other cause of action, whether in law or equity, and for any damages arising therefrom, and your sole and exclusive remedy for any cause of action shall be strictly limited to the actual amount paid by or on behalf of the user to mrBid.me for the product or service that gave rise to the damage you have requested through the use of the services. It is strongly recommended that individuals suffering from any health condition that may suddenly affect their actions when using the service seek medical guidance before doing so.
Users agree to exempt mrBid.me from the exclusive risk for using this service. MrBid.me does not guarantee that the services will operate smoothly, including, without limitation, any failure due to computer hardware or communication systems, or that the site or services will always be available, accessible, uninterrupted, timely, secure, accurate, complete, or error-free, or that defects in the services will be corrected. Except as expressly provided in these terms, mrBid.me does not make and hereby waives, and you hereby waive, any representations or warranties, whether statutory or otherwise, regarding the services, or any part thereof, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or arising from course of dealing, performance or usage in trade. Furthermore, mrbid.me does not warrant and makes no representations that the service (or any part thereof) will meet your needs or expectations or contain information that is current, accurate, or on which you should rely. Users assume full responsibility and risk for the use of this site, the services, and linked websites. Mrbid.me does not guarantee that files available for download will be free of viruses, worms, trojans, or other harmful programs. You are responsible for implementing sufficient procedures to meet your data backup and security needs. The foregoing does not affect any warranty that cannot be excluded or limited under applicable law.
Indemnification
You hereby waive and agree to defend, release, hold harmless, and indemnify mrBid.me (including its affiliates, partners, managers, representatives and/or legal representatives, employees, shareholders, and suppliers), from any claim, action, proceeding, demand, liability, damage, settlement, penalty, fine, cost, or expense (including, without limitation, reasonable legal fees, court costs, and other litigation-related expenses) arising out of or related to: (a) Your breach of any term, condition, representation, or warranty set forth in these Terms; (b) Your misuse or illegal use of the Services; (c) Alleged violation or misappropriation of any third-party intellectual property rights, including, but not limited to, trademarks, copyrights, patents, or trade secrets; or (d) Your access or use of the Services, as well as the access of any other person to the Services using your username and password.
Termination or Suspension
These Terms shall remain in effect until either party chooses to terminate the agreement. You may terminate these Terms at any time by immediately ceasing use and access to the Service. By accessing or using the Service, you are reaffirming your acceptance of these Terms. Termination of these Terms by either party shall terminate any right you may have to use any content or Service provided. Any license granted to mrBid.me to use Licensed Material shall remain in effect unless otherwise agreed by the parties in writing.
At its sole discretion, mrBid.me may terminate these Terms or prohibit or suspend your access to the Services at any time. Termination or suspension may occur for reasons stipulated in these Terms, including, but not limited to, if: (a) your use of the Service violates these terms or any applicable policy or guideline, is potentially unlawful or harmful to mrBid.me or any other party, or could expose mrBid.me to liability or additional expenses; (b) providing the Service becomes technically or commercially unfeasible; or (c) you fail to pay charges owed to mrBid.me.
Dispute Resolution - Arbitration Agreement and Waiver of Class Rights
You and mrBid.me agree that any legal dispute or claim arising out of or related to these Terms (including but not limited to the Services, use of the Services, or the interpretation, applicability, revocability of the Terms, or the arbitrability of any dispute or claim) that cannot be resolved informally shall be submitted to binding arbitration in the state where the Terms were made. Arbitration shall be conducted by the American Arbitration Association under its Consumer Arbitration Rules, a copy of which can be obtained at https://www.adr.org/sites/default/files/Consumer%20Rules.pdf, or as otherwise mutually agreed upon by you and MrBid.me. Any award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Claims must be brought within the time period required by applicable law. You and mrBid.me agree that any claim, action, or proceeding arising out of or related to the Terms must be brought in your individual capacities, and not as plaintiffs or class members in any class, collective, or representative action. The arbitrator shall not consolidate the claims of more than one person, and shall not preside over any form of class, collective, or representative proceeding. You acknowledge and agree that you an mrBid.me are waiving the right to a jury trial or to participate as a plaintiff or class member in any class or representative proceeding.
Taxes
You shall at all times comply with all applicable laws and regulations regarding the use of the Services and your offer, and purchase, of items through the Services. You shall indemnify and hold mrBid.me harmless for your non-compliance. You agree that MrBid.me shall not be required to perform any obligation under this Agreement if such performance would violate any present or future law, regulation, or policy of any applicable government.
Purchases made on the site are subject to state sales tax unless specifically exempt. Purchases are not exempt simply because the purchase is made over the internet, by catalog, or other remote means. If applicable, you may find the sales tax forms and corresponding instructions on your state's Department of Taxation website.
Severability
In the event that any clause or provision herein is deemed invalid, void, or unenforceable, whether in its entirety or in a particular application, the remainder of these Terms shall remain in full force and effect, and if the term or provision in question is found to be invalid, void, or unenforceable only with respect to a particular application, such term or provision shall remain in full force and effect with respect to all other applications. Additionally, if any provision of these terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.
Limitation of Claims
Subject to Section 34 (Dispute Resolution - Arbitration Agreement and Waiver of Class Rights), you agree notwithstanding any statute or law to the contrary that any claim or cause of action arising out of or related to the Site, the Services, or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Force Majeure
MrBid.me shall not be liable or deemed to have defaulted or violated these Terms to you, nor shall we be considered to have defaulted or violated these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by acts or circumstances beyond our reasonable control, including, without limitation, natural events, flood, fire, earthquake, explosion, government actions, war, invasion, or hostilities (whether declared war or not), terrorist threats or acts, civil unrest or other disturbances, national emergency, epidemics, strikes or other labor disputes (whether or not related to our workforce), or restrictions or delays affecting carriers or the inability or delay in obtaining suitable or adequate materials supplies, breakdown of materials or telecommunications, or power outage.
No Waiver
The failure of mrBid.me to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged or accepted by us in writing. Except as expressly provided in these Terms, the exercise by either party of any of its remedies under these Terms shall be without prejudice to its other remedies under these Terms or as provided otherwise by law.
Notifications
Any notice, request, demand, instruction, consent, or other communication given or sent under these Terms and Conditions shall be posted on the website. All notices regarding the service provided, terms and conditions of use shall be sent to [email protected]. Regarding notifications, mrBid.me may notify them at the email address they have designated (i) when placing a bid, (ii) when making a purchase, (iii) when creating a User. It is your responsibility to keep your email address up to date.
Use of Cookies
MrBid.me uses "cookies" when a User browses the website. The "cookies" are associated solely with an anonymous User and their computer, so they do not provide references that allow deducing the User's full name. MrBid.me's "cookies" cannot read data from your hard drive or read cookies created by other providers. The use of "cookies" technology allows mrBid.me to recognize registered Users after they have registered for the first time, without having to register on each visit to access the areas and services reserved exclusively for them. The User has the option to configure their browser to be notified on screen of the receipt of "cookies" and to prevent their installation on their hard drive. To use the Site, it is not necessary for the User to allow the installation of "cookies" sent to mrBid.me, although in such case it will be necessary for the User to register each time they access the Site.
Interpretation
If any provision of these Terms is or becomes declared null or unenforceable, it shall remain valid to the extent permitted by the applicable law according to the jurisdiction agreed upon in the Terms, and you shall be bound by all remaining Terms, with all their strength, binding force, and legal effects.
Applicable Jurisdiction
These Terms shall be governed by the laws in force in the United States of America. For the interpretation, compliance, or enforcement of this agreement, the Parties expressly submit to the jurisdiction of the Courts residing in Delaware, waiving any other jurisdiction by reason of their present or future domicile or for any other cause that may correspond to them.
